PRODUCT RESELLER AGREEMENT
This Quantum Authorized Reseller Agreement (hereinafter “Agreement”) is entered into by and between Quantum Corporation (including all of its wholly owned subsidiaries), a Delaware corporation (“Quantum”) and the reseller entity on whose behalf you are executing this Agreement and is properly registered in Quantum’s Alliance Portal (“Reseller”).
By clicking on the “I agree” (or similar) button that is presented to you, or by reselling the Products and Services, you indicate Reseller’s agreement to be bound by this Agreement. Quantum manufactures Product and has the right to authorize resale of certain Third Party Products. Reseller desires to resell Products and Third Party Products to its Customers and/or End-Users. This Agreement governs Reseller’s reselling of the Products to its Customers and/or End-Users. This Agreement is effective as of the earlier date this Agreement is referenced on a Purchase Order, the date you click on the “I agree” or similar button that is presented to you at the time you enter into this Agreement, or the date on which Reseller resells and Products (“Effective Date”). In consideration of the mutual covenants set forth in this Agreement, the parties therefore agree as specified herein. This Agreement constitutes the complete and exclusive understanding and agreement of the parties and supersedes all prior communications, proposals, understandings and agreements, whether written or oral, with respect to the subject matter hereof, resale of Quantum Products and Services.
Quantum wishes to make its products and services (the Quantum Offering) available to Reseller and Reseller wishes to purchase the Quantum Offering:
1. Sales and Service Terms and Conditions Reseller’s purchase of the Quantum Offering shall be governed by the Quantum Sales and Support Terms and Conditions available on https://www.quantum.com/en/terms
2. Reseller Authorization
a. Reseller is authorized to purchase and resell the Quantum Offering in their geographic region (EMEA, APAC, LAM or NAM). b. Except as otherwise agreed by Quantum in writing, Reseller is only authorized as described by the Quantum Alliance program participation terms and conditions available on Quantum Alliance partner portal. c. Reseller’s authorization is non-exclusive and Quantum may authorize other third parties to sell or resell the Quantum Offering in the Territory. d. Reseller acknowledges and agrees that it must purchase the Quantum Offering through a Quantum-authorized distributor in the Territory.
BY CLICKING THE BOX INDICATING YOUR AGREEMENT TO THE QUANTUM RESELLER AGREEMENT, YOU REPRESENT AND WARRANT THAT YOU HAVE READ AND AGREE TO (AND ARE AUTHORIZED TO AGREE TO) THE TERMS OF THE QUANTUM RESELLER AGREEMENT FOR THE LEGAL ENTITY ON WHOSE BEHALF YOU ARE ACCEPTING ITS TERMS AND CONDITIONS.
